NETRAMARK PRIVATE PLACEMENT - PRESS RELEASE CLARIFICATION

TORONTO, Sept. 15, 2023 /CNW/ - NetraMark Holdings Inc. (the "Company" or "NetraMark") (CSE: AIAI) (Frankfurt: 8TV) (OTC: AINMF) announces a clarification to its press release issued September 11, 2023 regarding a non-brokered private placement financing (the "Offering") of a minimum of 7,500,000 units of the Company (the "Units"), for aggregate gross proceeds of not less than $1.5 million to set out the price of the Unit. 

Each Unit is priced at $0.20 per Unit and will consist of one common share in the capital of the Company and one common share purchase warrant (each, a "Warrant"). Each Warrant will entitle the holder thereof to acquire, subject to adjustment in certain events, one common share in the capital of the Company at an exercise price of $0.35 for a period of two years from the closing date of the Offering, subject to acceleration in accordance with the terms thereof.
