Herbalife Nutrition Announces Proposed Offering of $500 Million of Senior Notes to Redeem Existing Senior Notes

Herbalife Nutrition Ltd. (NYSE: HLF) (the "Company"), a global nutrition company, today announced that HLF Financing SaRL, LLC and Herbalife International, Inc., each a wholly owned subsidiary of the Company, intend, subject to market and other conditions, to offer $500 million aggregate principal amount of senior notes due 2029 (the "Notes") in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.

The Company expects to use the net proceeds from the offering to redeem all outstanding 7.250% senior notes due 2026, for general corporate purposes, which may include shares repurchases and other capital investment projects, and to pay related fees and expenses.
