Shea Homes Limited Partnership and Shea Homes Funding Corp. Announce Results As of the Early Tender Deadline of Their Previously Announced Tender Offer for Up to $75 million of Their Outstanding 6.125% Senior Notes due 2025


WALNUT, Calif., Feb. 24, 2020 /PRNewswire/ -- Shea Homes Limited Partnership (the "Company") and Shea Homes Funding Corp. ("Funding Corp." and, together with the Company, the "Issuers") announced today the results as of the early tender deadline of their previously announced cash tender offer (the "Tender Offer") for up to $75 million of the $375 million outstanding principal amount of their 6.125% Senior Notes due 2025 (the "Notes"). The early tender deadline for the Tender Offer expired at 5:00 p.m., New York City time, on February 21, 2020 (the "Early Tender Deadline").

As of the Early Tender Deadline, holders of $61,842,000 in aggregate principal amount of the Notes, or approximately 16.5% of the outstanding Notes, had validly tendered and not validly withdrawn such Notes.  The Issuers expect to accept for payment all Notes validly tendered and not validly withdrawn prior to the Early Tender Deadline.

In accordance with the terms of the Offer to Purchase, dated February 7, 2020 (the "Offer to Purchase"), the Issuers will pay all holders whose Notes were tendered at or prior to the Early Tender Deadline and are accepted for purchase an amount equal to $1,033.78 for each $1,000 in principal amount of the Notes, which amount includes an early tender payment of $50.00 for each $1,000 principal amount of Notes validly tendered by such holder (the "Early Tender Payment").  In addition, holders that tendered at or prior to the Early Tender Deadline and whose Notes are purchased in the Tender Offer will receive accrued and unpaid interest on such Notes up to, but not including, the early payment date of the Tender Offer.  Subject to the terms and conditions of the Offer to Purchase, Notes validly tendered and not validly withdrawn prior to the Early Tender Deadline and accepted for purchase will be paid for on the early payment date, which is expected to be February 25, 2020.

Holders validly tendering Notes after the Early Tender Deadline and at or prior to 12:00 midnight, New York City time, at the end of the day of March 6, 2020 (the "Expiration Time") will be eligible to receive $983.78 for each $1,000 principal amount of such Notes validly tendered by such holder, and accepted for purchase.  In addition, holders that tendered after the Early Tender Deadline and whose Notes are purchased in the Tender Offer will receive accrued and unpaid interest on such Notes up to, but not including, the final payment date of the Tender Offer, which is expected to be March 10, 2020.  If the purchase of all Notes validly tendered after the Early Tender Deadline would cause the Issuers to purchase a total principal amount in the Tender Offer greater than $75 million, then the Tender Offer will be oversubscribed and the Issuers, if they accept Notes for purchase tendered after the Early Tender Deadline, will accept for purchase such tendered Notes on a prorated basis as described in the Offer to Purchase.

The Issuers have retained J.P. Morgan Securities LLC to act as Dealer Manager in connection with the Tender Offer, and D.F. King & Co., Inc. to serve as the tender and information agent for the Tender Offer.
