Osisko Mining announces upsize to the previously-announced "bought deal" private placement and a second tranche "bought deal" private placement of flow-through shares

TORONTO, Nov. 14, 2019 /CNW/ - Osisko Mining Inc. (TSX:OSK) ("Osisko" or the "Corporation") is pleased to announce that it has entered into an agreement with a syndicate of underwriters led by Canaccord Genuity Corp. to upsize the previously-announced "bought deal" private placement to an aggregate of 7,000,000 common shares (up from 5,320,000 common shares) of the Corporation that will qualify as "flow-through shares" (within the meaning of subsection 66(15) of the Income Tax Act (Canada) and section 359.1 of the Taxation Act (Québec)) (the "Tranche 1 FT Shares") at a price of C$4.70 per Tranche 1 FT Share for aggregate gross proceeds of C$32,900,000 (previously C$25,004,000).

In addition, the Corporation has entered into an agreement with a syndicate of underwriters led by Canaccord Genuity Corp. in connection with a second tranche of the offering on a "bought deal" private placement for an  aggregate of 4,412,000 common shares of the Corporation that will qualify as "flow-through shares" (within the meaning of subsection 66(15) of the Income Tax Act (Canada)) (the "Tranche 2 FT Shares") at a price of C$3.40 per Tranche 2 FT Share for aggregate gross proceeds of C$15,000,800.

In addition, the Corporation has granted the underwriters an option to sell an additional 1,050,000  Tranche 1 FT Shares (previously 798,000 Tranche 1 FT Shares) at a price of C$4.70 per Tranche 1 FT Share  for additional gross proceeds of up to C$4,935,000 and an additional 662,000 Tranche 2 FT Shares at a price of C$3.40 per Tranche 2 FT Share for additional gross proceeds of C$2,250,800, both exercisable by the underwriters up to 48 hours prior to the Closing Date.

The gross proceeds from the issue and sale of the Tranche 1 FT Shares and the Tranche 2 FT Shares will be used by the Corporation to incur eligible "Canadian exploration expenses" that will qualify as "flow-through mining expenditures" as such terms are defined in the Income Tax Act (Canada) (the "Qualifying Expenditures") related to the Corporation's projects in Québec on or before December 31, 2020. All Qualifying Expenditures will be renounced in favour of the subscribers effective December 31, 2019.

Both tranches of the offering are expected to close on or about December 5, 2019 and are subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the Toronto Stock Exchange and the applicable securities regulatory authorities. The Tranche 1 FT Shares and Tranche 2 FT Shares to be issued under the offering will be subject to a hold period in Canada expiring four months and one day from the closing date of the offering.
