Sentient IV Acquires Securities of LeadFX Inc.

MONTREAL, Jan. 12, 2018 /CNW Telbec/ - Sentient Executive GP IV, Limited ("Sentient IV") announces that it has acquired control over 576,777 units (the "Units") of LeadFX Inc. ("LeadFX") by way of a second tranche closing of a previously announced private placement at a price of $0.49 per Unit.

Each Unit is comprised of one common share of LeadFX (a "LeadFX Share") and one common share purchase warrant of LeadFX (a "LeadFX Warrant"). Each LeadFX Warrant entitles the holder to acquire one LeadFX Share at a price of $0.61 per LeadFX Share until January 12, 2023. As such, Sentient IV acquired control over 576,777 LeadFX Shares and 576,777 LeadFX Warrants that represent approximately 2.60% of the outstanding LeadFX Shares, calculated on a partially diluted basis assuming the full exercise of the 576,777 LeadFX Warrants held by Sentient IV only.

Prior to the acquisition of the Units, Sentient IV had control over 13,501,358 LeadFX Shares (representing approximately 31.72% of the then outstanding LeadFX Shares) and the right to acquire 576,777 LeadFX Shares through 576,777 LeadFX Warrants. In the event all of the 576,777 LeadFX Warrants are fully exercised, Sentient IV would acquire control over a maximum of 14,078,135 LeadFX Shares (including the 13,501,358 LeadFX Shares over which Sentient IV had control). These combined holdings would represent approximately 32.63% of the then outstanding LeadFX Shares, calculated on a partially diluted basis assuming the full exercise of the 576,777 LeadFX Warrants held by Sentient IV only.

Immediately after the acquisition of the Units, Sentient IV has control over 14,078,135 LeadFX Shares (representing approximately 32.18% of the outstanding LeadFX Shares) and the right to acquire 1,153,554 LeadFX Shares through 1,153,554 LeadFX Warrants. In the event all of the 1,153,554 LeadFX Warrants are fully exercised, Sentient IV would acquire control over a maximum of 15,231,689 LeadFX Shares (including the 14,078,135 LeadFX Shares over which Sentient IV has control). These combined holdings would represent approximately 33.92% of the outstanding LeadFX Shares, calculated on a partially diluted basis assuming the full exercise of the 1,153,554 LeadFX Warrants held by Sentient IV only.

Sentient IV acquired the Units for investment purposes only and not with a view to materially affecting control of LeadFX. Depending upon market conditions and other factors, Sentient IV may, from time to time, acquire or dispose of additional securities of LeadFX, in the open market, by private agreement or otherwise, or acquire interests in or enter into related financial instruments involving a security of LeadFX.
