CITGO Announces Pricing of Upsized $1.125 Billion Senior Secured Notes Private Offering


HOUSTON, June 2, 2020 /PRNewswire/ -- CITGO Petroleum Corporation (the "Company") today announced that it has priced $1.125 billion aggregate principal amount of 7.00% senior secured notes due 2025 in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act").  The principal amount of the offering was increased from the previously announced offering size of $750 million. The closing of the offering is expected to occur on June 9, 2020, subject to customary closing conditions.

The Company intends to use the net proceeds from the sale of the notes to repay all $614 million outstanding under the Company's term loan B due 2021 and accrued and unpaid interest under the term loan B due 2021, pay all fees and expenses in connection with the offering, and for working capital and general corporate purposes.
