Scott+Scott is investigating whether members of the McDonald's board of directors breached their fiduciary duties by allowing pervasive governance problems to exist at McDonald's, causing harm to McDonald's from numerous lawsuits, negative publicity, and ongoing harm to its employees. The investigation is specifically focused on the numerous complaints of sexual misconduct and retaliation at McDonald's.

On May 21, 2019, the American Civil Liberties Union ("ACLU") and other groups announced the filing of 25 new lawsuits and regulatory charges of condoning sexual harassment in the workplace and retaliating against employees. On November 3, 2019, McDonald's Chief Executive Officer, Steve Easterbrook, was terminated for having an undisclosed relationship with an employee. On November 4, 2019, McDonald's Chief Human Resources Officer also left the Company. The ACLU announced a further lawsuit filed on November 12, 2019, with hundreds of McDonald's employees in Michigan preparing to go on strike in part to protest McDonald's handling of such allegations.
