Titanium Transportation Announces Voting Results of Annual and Special Meeting of Shareholders


BOLTON, Ontario, May 15, 2019 (GLOBE NEWSWIRE) -- Titanium Transportation Group Inc. ("Titanium" or the "Company") (TSX VENTURE:TTR), a leading provider of transportation and logistics services throughout North America, is pleased to announce that all of the nominees listed in the Company's Management Information Circular for the Annual and Special Meeting of Shareholders held on May 14, 2019 (the "Meeting") were elected to the Board of Directors. Each director will serve until the next annual meeting of shareholders or until their successors are elected or appointed or they otherwise cease to serve as directors.

Detailed results of the vote for the election of directors held at the meeting are set out below:

A total of 26,107,871 shares were voted at the Meeting, representing 71.04% of the issued and outstanding common shares of the Company as at the record date.

At the Meeting, shareholders also approved the (i) reappointment of MNP LLP as the Company's independent auditor for 2019; (ii) an amendment to the Company's amended and restated rolling stock option plan; and (iii) amendments to the Company's share purchase plan.

The following financial measures do not have any standardized meaning under IFRS and may not be comparable to similar measures employed by other companies:

"Earnings before interest, income taxes, depreciation and amortization" ("EBITDA") is calculated as net income before depreciation, amortization, asset impairments, gains or losses on the sale of equipment, finance income and costs, gains or losses on foreign exchange, income tax expense, transaction costs, accelerated customer list amortization and goodwill impairment.

"EBITDA margin" is calculated as EBITDA as a percentage of revenue before fuel surcharge.

"Adjusted net income" is calculated as net income before items that are not in the normal course of business, such as accelerated customer list amortization and goodwill impairment.

Management of the Company believes that these financial measures are useful for investors and other readers, when used in conjunction with other IFRS financial measures, as they are measures used internally by management to evaluate performance.
