ESSA Pharma Inc. Announces Share Consolidation


HOUSTON and VANCOUVER, April 19, 2018 /PRNewswire/ - ESSA Pharma Inc. ("ESSA" or the "Company") (TSX-V: EPI, NASDAQ: EPIX), a pre-clinical stage pharmaceutical company focused on developing novel therapies for the treatment of prostate cancer, is pleased to announce that on April 18, 2018 the board of directors of the Company (the "Board") passed a resolution to proceed with the previously announced consolidation (the "Consolidation") of the issued and outstanding common shares of the Company (the "Common Shares") on a basis of one (1) post-Consolidation Common Share for every twenty (20) pre-Consolidation Common Shares.  The Consolidation is being conducted to meet the listing rules of the Nasdaq Capital Market ("Nasdaq"), which require the Company to maintain a bid price of at least US$1.00 per Common Share. The Consolidation was approved by the shareholders at the Company's annual general and special meeting of shareholders held on March 28, 2018.

Subject to approval by the TSX Venture Exchange, the Board has set the effective date for the Consolidation to be April 25, 2018 (the "Effective Date").  Trading of the Common Shares on a post-Consolidation basis on the TSX Venture Exchange and Nasdaq is expected to commence on or about the opening of trading on the Effective Date. 

The 115,521,889 Common Shares currently issued and outstanding will be reduced to approximately 5,776,094 Common Shares on a post-Consolidation basis.  No fractional Common Shares will be issued pursuant to the Consolidation.  In the event that a shareholder would otherwise be entitled to a fractional Common Share hereunder, the number of Common Shares issued to such shareholder shall be rounded up to the next greater whole number of Common Shares, if the fractional entitlement is equal to or greater than 0.5 and shall, without any additional compensation, be rounded down to the next lesser whole number of Common Shares if the fractional entitlement is less than 0.5.

The Consolidation will also affect the holders of 43,780,000 pre-funded common share purchase warrants which were issued by the Company on January 9, 2018 and January 16, 2018 pursuant to a public offering and private placement respectively.  Each warrant entitles the holder to acquire for a nominal exercise price of $0.001, one common share in the capital of the Company at any time until the date that is 60 months following the date of issuance of the warrant.  If all prepaid warrants were exercised prior to Consolidation there would be 159,301,889 Common Share currently issued and outstanding, which would be reduced to approximately 7,965,094 Common Shares on a post-Consolidation basis.

The Consolidation will affect shareholders uniformly, including holders of outstanding incentive stock options, warrants and other securities convertible into or exercisable for Common Shares (collectively, "Convertible Securities") on the Effective Date.  The exercise price, number and exchange basis of the Convertible Securities on the Effective Date will be adjusted proportionally to reflect the Consolidation.

The registered holders of Common Shares will be sent a transmittal letter by the Company's transfer agent, Computershare Investor Services Inc. The letter of transmittal will contain instructions on how to surrender Common Share certificate(s) representing pre-Consolidation Common Shares to the transfer agent. The transfer agent will forward to each registered shareholder who has sent the required documents a new Common Share certificate representing the number of post-Consolidation Common Shares to which the shareholder is entitled.  Non-registered shareholders holding Common Shares through an intermediary (such as a securities broker, dealer, bank or financial institution) should be aware that the intermediary may have different procedures for processing the Consolidation.  If shareholders hold their Common Shares through an intermediary and they have questions in this regard, they are encouraged to contact their intermediaries. 

On July 19, 2017, the Company announced that it had received a letter from the Nasdaq indicating, among other things, that the minimum closing bid price of the Common Shares had fallen below US$1.00 per Common Share for 30 consecutive trading days, and therefore, the Company was not in compliance with Nasdaq Listing Rule 5550(a)(2) (the "Rule"). The letter required the Company to regain compliance with the Rule by January 15, 2018.

On January 16, 2018, the Company was granted an additional 180 calendar days, or until July 16, 2018, to regain compliance with the Rule. To regain compliance, the closing bid price of the Common Shares must be above US$1.00 per Common Share for a minimum of ten consecutive business days.  A decrease in the number of issued and outstanding Common Shares resulting from the Consolidation should, absent other factors, help to ensure that the Company's closing bid price per Common Share remains above $1.00 per Common Share.  However, no assurance can be given that the Company will regain compliance during that period.

About Prostate Cancer

Prostate cancer is the second-most commonly diagnosed cancer among men and the fifth most common cause of male cancer death worldwide (Globocan, 2012). Adenocarcinoma of the prostate is dependent on androgen for tumor progression and depleting or blocking androgen action has been a mainstay of hormonal treatment for over six decades. Although tumors are often initially sensitive to medical or surgical therapies that decrease levels of testosterone, disease progression despite castrate levels of testosterone generally represents a transition to the lethal variant of the disease, metastatic CPRC ("mCRPC"), and most patients ultimately succumb to the illness. The treatment of mCRPC patients has evolved rapidly over the past five years. Despite these advances, additional treatment options are needed to improve clinical outcomes in patients, particularly those who fail existing treatments including abiraterone or enzalutamide, or those who have contraindications to receive those drugs. Over time, patients with mCRPC generally experience continued disease progression, worsening pain, leading to substantial morbidity and limited survival rates. In both in vitro and in vivo animal studies, ESSA's novel approach to blocking the androgen pathway has been shown to be effective in blocking tumor growth when current therapies are no longer effective.
