Par Pacific Holdings Announces Offering Of Senior Secured Notes


HOUSTON, Dec. 5, 2017 /PRNewswire/ -- Par Pacific Holdings, Inc. (NYSE American: PARR) ("Par Pacific" or the "Company") today announced that Par Petroleum, LLC ("Par Petroleum") and Par Petroleum Finance Corp. ("Finance Corp." and together with Par Petroleum, the "Issuers"), both wholly-owned subsidiaries of the Company, intend to offer, subject to market and other conditions, $300 million aggregate principal amount of senior secured notes due 2025 (the "notes") through a private offering to qualified institutional buyers pursuant to Rule 144A and to certain persons outside of the United States pursuant to Regulation S, each under the Securities Act of 1933, as amended (the "Act").  

The notes will be secured, senior obligations of the Issuers, and interest will be payable semi-annually in arrears. The notes will be guaranteed on a senior secured basis by Par Petroleum's existing and certain future domestic restricted subsidiaries (excluding Finance Corp.) and on a senior unsecured basis only as to the payment of principal and interest by the Company. The notes will initially be secured by a first-priority lien on substantially all of the assets of the Issuers and the subsidiary guarantors other than certain excluded properties, the assets constituting collateral for the supply and offtake agreements with J. Aron & Company LLC and the assets constituting collateral for a new asset-based secured revolving credit facility.

The Issuers intend to use the net proceeds of the proposed offering to repay Par Petroleum's and its subsidiaries' existing indebtedness under their existing secured credit facilities, to repay the forward sale amount under the supply and offtake agreements with J. Aron & Company LLC, and for general corporate purposes. 

In connection with the offering, Par Petroleum and its subsidiaries expect to enter into a new asset-based secured revolving credit facility with commitments of $75 million in order to provide ongoing working capital and for general corporate purposes. The new facility will be subject to borrowing base availability and is expected to be undrawn at the closing of the notes offering. 

Neither the notes nor the related guarantees have been, nor will be, registered under the Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
