Altor Holds More Than 90% and Completes the Offer to the Shareholders of Transcom


STOCKHOLM, March 13, 2017 /PRNewswire/ -- The Offer is not being made, and this press release may not be distributed, directly or indirectly, in or into, nor will any tender of shares be accepted from or on behalf of holders in, Australia, Hong Kong, Japan, Canada, New Zealand, South Africa or the United States of America, or any other jurisdiction in which the making of the Offer, the distribution of this press release or the acceptance of any tender of shares would contravene applicable laws or regulations or require further offer documents, filings or other measures in addition to those required under Swedish law.

On 21 December 2016, Altor AB announced a recommended public cash offer to the shareholders of Transcom WorldWide AB ("Transcom") to tender all their shares in Transcom to Altor AB for SEK 87.50[1] per share (the "Offer").

As of 10 March 2017, which was the last day of the extended acceptance period under the Offer, the Offer had been accepted by shareholders with a total holding exceeding 68.4% of the total number of shares and votes in Transcom (excluding 702,966 shares held by Transcom in treasury) which, together with the number of shares that Altor AB held prior to the announcement of the Offer, represents more than 90% of the total number of shares and votes in Transcom[2].  Accordingly, all conditions for completion of the Offer have been satisfied and Altor AB therefore declares the Offer unconditional and completes the Offer.

The acceptances are still being counted and Altor AB will announce the precise result of the Offer as soon as possible. Settlement in respect of the Transcom shares duly tendered no later than 10 March 2017, is expected to occur on or around 22 March 2017.

Altor AB has decided to extend the acceptance period until 5 p.m. CET on 22 March 2017 to enable Transcom shareholders who have not yet accepted the Offer to accept the Offer. Settlement in respect of shares tendered after 10 March 2017 until 5 p.m. CET on 22 March 2017 is expected to occur on or around 3 April 2017. Altor AB will not extend the acceptance period further.

Since Altor AB holds more than 90% of the Transcom shares, Altor AB intends to initiate compulsory acquisition proceedings with respect to those Transcom shares not tendered in the Offer, and to promote a delisting of the Transcom share from Nasdaq Stockholm.
