2018-0519 - Delist - Cayenne Capital Corp. (CYC)

TORONTO, May 18, 2018 (GLOBE NEWSWIRE) -- The common shares of Cayenne Capital Corp. (the "Issuer") will be delisted at the market close Friday, May 18th, 2018.

Further to the Issuer's news release on May 17, 2018, the CSE has objected to a transaction proposed by the Issuer and will not permit the transaction to be completed as a Fundamental Change of a CSE Listed Company as described by CSE Policy.

The CSE has informed the Company that it must seek shareholder approval to delist if the transaction is to be completed.  The Exchange will not accept an application from the resulting issuer unless a receipt for a final prospectus is obtained.

The Issuer applied to the CSE as, and qualified for listing as a resource issuer. It is the position of the CSE that the Issuer has not adequately pursued the business objectives as described in a prospectus and listing documentation,  and on which the Exchange's listing approval was granted. 

The Issuer has now obtained shareholder approval to delist from the CSE and pursue the transaction.

Le retrait des actions ordinaires de Cayenne Capital Corp. (ci-après l'« émetteur ») se fera à la clôture du marché le vendredi 18 mai 2018.

Suite au communiqué de presse de l'émetteur daté du 17 mai 2018, le CSE s'est opposé à une transaction proposée par l'émetteur et ne permettra pas que la transaction soit effectuée comme changement fondamental d'une société cotée en CSE conformément à la politique du CSE.

Le CSE a informé la Société qu'il doit demander l'approbation des actionnaires pour radier si la transaction doit être complétée. La Bourse n'acceptera pas une demande de l'émetteur résultant à moins d'obtenir un reçu pour un prospectus définitif.

L'Émetteur a présenté une demande à l'intention du CSE en tant que société inscrite à la cote et est admissible à l'inscription à titre d'émetteur de ressources. Le CSE est d'avis que l'émetteur n'a pas poursuivi adéquatement les objectifs d'affaires décrits dans les prospectus et les documents d'inscription, et sur lesquels l'approbation de la Bourse a été accordée.

L'émetteur a maintenant obtenu l'approbation des actionnaires pour radier du CSE et poursuivre la transaction.
