Peter Catford and Ellen Catford Announce Acquisition Of Securities of Vitalhub Corp.

TORONTO, Jan. 10, 2018 /CNW/ - Peter Catford ("PC") and Ellen Catford ("EC") announced today that on January 10, 2018, Vitalhub Corp. ("Vitalhub") closed its acquisition of 100% of the shares of H.I.Next Inc. ("HI Next") pursuant to a share purchase agreement between Vitalhub and the shareholders of HI Next, including PC and EC, each of whom held over 40% of the shares of HI Next.  As partial consideration for the shares of HI Next, Vitalhub issued 9,078,876 common shares of Vitalhub ("Common Shares") to PC and 8,722,841 Common Shares to EC. The Common Shares issued to PC and EC are being held in an escrow to be released over the next 36 months. PC and EC have each individually acquired beneficial ownership of less than 10% of the Common Shares, and together approximately 14.5% of the Common Shares.  PC and EC may be considered to be acting jointly or in concert with each other as spouses.
